LŪMA WELLNESS STUDIO MEMBERSHIP AGREEMENT + TERMS & CONDITIONS
Effective Date: JULY 2026
Studio: LŪMA Wellness Studio (“LŪMA,” “we,” “us,” or “our”)
Welcome to LŪMA. These Membership Agreement and Terms & Conditions govern your use of our website, booking platform, facilities, classes, memberships, class packages, retail purchases, and all related services. By purchasing, booking, or attending classes at LŪMA, you acknowledge that you have read, understood, and agree to be bound by the following terms.
This Membership Agreement constitutes the entire agreement between LŪMA and the purchaser with respect to the membership described herein, except for LŪMA’s separate Waiver, Release of Liability, Assumption of Risk, and Indemnity Agreement, which is also required prior to participation.

General Membership Terms
All memberships begin with an initial three (3) month commitment unless otherwise stated in writing by LŪMA.
After the initial commitment period, memberships automatically renew on a month-to-month basis unless canceled in accordance with this Agreement and applicable law.
Memberships are personal, non-transferable, and may not be shared.
Membership classes do not roll over and expire monthly.
Membership usage restrictions apply. Members may only maintain one active booking, including waitlist, per calendar day using membership plans. Members may book, cancel, and rebook, but may only hold one active booking per calendar day based on class local time.

2. BILLING + AUTOPAY
Memberships are billed by monthly autopay to the card on file.
By purchasing a membership, you authorize LŪMA to automatically charge the card on file for recurring membership dues, applicable fees, rentals, retail purchases, and other authorized charges under this Agreement.
Failed payments will incur a $10 per day fee.
After three (3) days of failed payment:
all booked classes will be canceled,
the membership will be placed on hold,
and outstanding balances must be paid before resuming classes.
Except where required by law, membership fees are non-refundable.
3. MEMBERSHIP HOLD / PAUSE
Clients may pause their membership for a $25 fee for up to three (3) months.
An additional $25 fee will apply for each additional three (3) month pause period requested. Each member is allowed 2 pause periods per calendar year.
To request a pause, clients must provide notice by email to hello@lumastudiocc.com.
During an active hold, billing will pause and membership access will be suspended. Membership benefits resume automatically at the end of the hold period.
Holds cannot be applied retroactively and cannot be used to avoid scheduled billing dates.
During the initial commitment period, pauses are generally not permitted except where approved by LŪMA or where required by applicable law.
LŪMA may require documentation for medical-related hold requests.
4. MEMBERSHIP TERMINATION / NON-RENEWAL
After the initial commitment period, members may cancel their membership by providing at least thirty (30) days’ written notice to hello@lumastudiocc.com.
If a billing date occurs during the notice period, billing and access will be handled in accordance with this Agreement and applicable law.
During the initial commitment period, membership cancellations are generally not permitted except as otherwise provided in this Agreement or required by applicable law.
Requests related to medical circumstances may require documentation and will be handled on a case-by-case basis. Depending on the circumstances, LŪMA may offer a pause, delayed cancellation, or other reasonable accommodation.
Nothing in this section is intended to waive or limit any cancellation or refund rights provided under applicable Texas law.
5. TEXAS HEALTH SPA CANCELLATION + REFUND NOTICE
NOTICE TO PURCHASER: DO NOT SIGN THIS CONTRACT UNTIL YOU READ IT OR IF IT CONTAINS BLANK SPACES.
IF YOU DECIDE YOU DO NOT WISH TO REMAIN A MEMBER OF THIS HEALTH SPA, YOU MAY CANCEL THIS CONTRACT BY MAILING TO THE HEALTH SPA BY MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DAY YOU SIGN THIS CONTRACT A NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS:

IF THE HEALTH SPA GOES OUT OF BUSINESS AND DOES NOT PROVIDE FACILITIES WITHIN 10 MILES OF THE FACILITY IN WHICH YOU ARE ENROLLED OR IF THE HEALTH SPA MOVES MORE THAN 10 MILES FROM THE FACILITY IN WHICH YOU ARE ENROLLED, YOU MAY:
(A) CANCEL THIS CONTRACT BY MAILING BY CERTIFIED MAIL A WRITTEN NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT, ACCOMPANIED BY PROOF OF PAYMENT ON THE CONTRACT TO THE HEALTH SPA AT THE FOLLOWING ADDRESS:

(B) FILE A CLAIM FOR A REFUND OF YOUR UNUSED MEMBERSHIP FEES AGAINST THE BOND OR OTHER SECURITY POSTED BY THE HEALTH SPA WITH THE TEXAS SECRETARY OF STATE. TO MAKE A CLAIM AGAINST THE SECURITY PROVIDE A COPY OF YOUR CONTRACT TOGETHER WITH PROOF OF PAYMENTS MADE ON THE CONTRACT TO THE TEXAS SECRETARY OF STATE. THE REQUIRED CLAIM INFORMATION MUST BE RECEIVED BY THE SECRETARY OF STATE NOT LATER THAN THE 90TH DAY AFTER THE DATE NOTICE OF THE CLOSURE OR RELOCATION IS FIRST POSTED ON THE SECRETARY OF STATE’S INTERNET WEBSITE.
IF YOU DIE OR BECOME TOTALLY AND PERMANENTLY DISABLED AFTER THE DATE THIS CONTRACT TAKES EFFECT, YOU OR YOUR ESTATE MAY CANCEL THIS CONTRACT AND RECEIVE A PARTIAL REFUND OF YOUR UNUSED MEMBERSHIP FEE BY MAILING A NOTICE TO THE HEALTH SPA STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE HEALTH SPA MAY REQUIRE PROOF OF DISABILITY OR DEATH. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS:

6. GENERAL PARTICIPATION TERMS
Eligibility
Clients must be at least 14 years of age or older to participate in classes.
Clients under age 18 must have a parent or legal guardian sign a Minor Consent Form before participation.
Minors may attend heated classes only if explicitly approved by their parent or guardian, who will select which class types the minor may attend as part of the consent process.
LŪMA reserves the right to deny participation to any individual for safety, health, or policy-related reasons.
What to Expect in Class + Heat Disclosure
LŪMA offers heated and warm fitness classes including POWER, SCULPT, IGNITE, BURN, and GROUND. Room temperatures vary by class and typically range from approximately 80°F–100°F. Temperatures may vary depending on class format, studio conditions, and instructor discretion.
LŪMA offers high-intensity classes at varying levels of difficulty. Occasionally there may be times of total darkness during class. Music may be played that contains explicit language. If you are sensitive to heat or explicit music, please check with our front desk staff to find the right class for you.
Participation is entirely voluntary. Clients are responsible for monitoring their own physical condition, hydration levels, and exertion during class. Heated exercise carries inherent risks including dehydration, dizziness, overheating, cardiovascular stress, and injury.
7. STUDIO ETIQUETTE + CONDUCT
Check-in with the front desk or instructor is required. Failure to check in may result in a no-show charge.
Phones are not permitted in studio.
Clients must arrive on time. Late entry is not permitted more than four (4) minutes after class begins for safety reasons.
Late arrivals who are denied entry will forfeit the class credit or incur applicable fees.
A yoga mat is required for all class types. Mats are available to rent for $5.
Members are expected to use equipment properly, respect others, and help maintain a clean and welcoming space.
Misconduct may result in removal from class, suspension of booking privileges, loss of class credits, or termination of membership at LŪMA’s discretion.
Instructors and studio management reserve the right to deny participation, modify participation, or remove a client from class at any time for safety or policy reasons, including but not limited to:
safety concerns,
heat intolerance,
injury or lack of medical clearance,
disruptive, inappropriate, or unsafe behavior.
No refunds, credits, or transfers will be issued if a client is removed from class for violation of studio rules or safety concerns.
8. RESERVATIONS, WAITLISTS + CLASS CANCELLATIONS
Reservations
All LŪMA clients must have an account with a valid email address, phone number, and credit card on file to register for classes.
Registration may be completed through www.lumastudiocc.com/schedule, the Walla app, or in person at the studio.
Classes may be reserved up to seven (7) days in advance when the booking window opens.
Priority for booking specific spots may be given to clients who purchase memberships or packages directly from LŪMA.
Clients who use third-party booking systems such as ClassPass are not guaranteed specific spots in class.
Booking windows and availability are subject to change.
Clients are responsible for enabling email and text notifications through Walla. LŪMA is not responsible for missed classes due to disabled notifications.
If you sign up for a later class but attend an earlier one, the cancellation fee is waived. If you miss an earlier class and attend a later one, a cancellation fee will still apply.
Class Cancellation Policy
Classes must be canceled at least twelve (12) hours prior to class start time to avoid penalty.
Late Cancellation
A $10 late cancellation fee will be charged and the class will be added back to your account.
No-Shows
No-shows will be charged a $15 fee for unlimited members or will result in the loss of a session for drop-ins, limited memberships, or class packages.
Waitlist Policy
If a class is full and you add yourself to the waitlist:
the same cancellation rules apply as a regular reservation;
if you move off the waitlist into class less than one (1) hour prior to class, or overnight, it is your responsibility to manage your reservation and cancellation timing;
If you are not moved into the class, your reservation will automatically expire and your class credit or session will be returned to your account.
the studio is not responsible for inconvenient timing, so please enable notifications;
it is recommended that you do not sign up for more than one waitlist in a day to avoid double booking.
9. FIRST GLOW – 14 DAY UNLIMITED TRIAL ($59)

10. CLASS PACKS + DROP-INS
Pricing
5 Pack – $140 (expires in 2 months)
10 Pack – $260 (expires in 4 months)
20 Pack – $480 (expires in 6 months)
Drop-In – $30
Policy
Class packs are non-refundable and non-transferable.
Extensions may be granted for medical circumstances at LŪMA’s discretion and may require documentation.
11. RENTALS + MERCHANDISE
Yoga mat rentals are available for $5 per class and will be charged to the card on file.
All retail and merchandise purchases are final sale.
LŪMA gift cards may be used toward memberships, class packages, and merchandise, but may not be redeemed for cash.
12. PERSONAL PROPERTY
LŪMA is not responsible for lost, stolen, or damaged personal items. Use of lockers, cubbies, and studio storage areas is at your own risk.
13. PHOTO + VIDEO RELEASE
By attending classes or events at LŪMA, you grant permission for photographs and videos to be taken and used for marketing, social media, and promotional purposes without compensation.
14. SMS + EMAIL COMMUNICATION
SMS Communication Program
As part of our services, LŪMA offers an SMS program to keep you informed and motivated. By opting in, you consent to receive text messages related to our services.
Message Frequency: You can expect to receive 1-4 messages per week depending on your usage and attendance, including but not limited to:
Class schedule updates
Class and Event reminders
Exclusive promotions and offers
Studio closures and updates
Product Description: The LŪMA SMS program is designed to keep you updated and engaged with personalized fitness content, class information, and exclusive offers.
Customer Care: If you have any questions or need support, contact us at hello@lumastudiocc.com or reply to any of our text messages for assistance.
Opt-out Information:
To opt-out of the SMS program at any time, text “STOP”. After opting out, you will no longer receive text messages from us.
For single-message programs, you will receive only one message upon opt-in, and no further action is required unless you wish to opt out for future communication.
Message and Data Rates: Message and data rates may apply depending on your mobile carrier and plan. Please check with your provider for details.
Associated Costs: Participation in the SMS program is free from our end, but you are responsible for any charges from your mobile carrier, including text message fees and data rates.

15. SEPARATE WAIVER + RELEASE
All LŪMA clients must agree to LŪMA’s separate Waiver, Release of Liability, Assumption of Risk, and Indemnity Agreement prior to attending their first class. Participation in classes, events, and use of LŪMA facilities is conditioned on acceptance of that separate waiver.

By signing up for and/or attending classes, activities, programs, or events at LŪMA Wellness Studio (“LŪMA”), and by using LŪMA’s premises, facilities, services, and equipment (collectively, the “Classes and Facilities”), I acknowledge and agree that participation in fitness, wellness, and heated exercise activities involves inherent risks of injury or harm, whether known or unknown, foreseeable or unforeseeable, and regardless of whether such risks arise from my own actions or from the ordinary negligence of LŪMA or others. I understand that these risks may range from minor injuries to serious bodily injury, illness, permanent disability, or death.
I understand that risks associated with participation may include, but are not limited to, dehydration, overheating, dizziness, fainting, cardiovascular or neurological events, muscle strains, sprains, fractures, slipping or falling, equipment malfunction or breakage, improper maintenance of equipment or facilities, negligent instruction or supervision, and conditions of the premises including studios, entrances, walkways, restrooms, and common areas.
If I am pregnant, attempting to become pregnant, postpartum, or have any medical condition that may affect my ability to safely participate, I understand that it is my sole responsibility to consult with a physician, inform instructors as appropriate, and modify or discontinue participation as needed. I acknowledge that LŪMA does not provide medical advice and that participation is voluntary and at my own risk.
In consideration of being permitted to participate in the Classes and Facilities, I voluntarily assume full responsibility for any and all risks, injuries, losses, or damages that may occur to me or my property. I hereby knowingly and expressly waive, release, and discharge LŪMA Wellness Studio and its owners, officers, directors, managers, employees, instructors, trainers, agents, volunteers, independent contractors, affiliates, successors, and assigns from any and all claims, demands, causes of action, or liabilities of any kind arising out of or related to my participation in or presence at LŪMA, including claims arising from the ordinary negligence of the Released Parties. This release applies to claims for personal injury, bodily injury, mental or emotional injury, illness, property damage, theft, economic loss, or wrongful death, and extends to my spouse, children (including unborn children), heirs, guests, and legal representatives.
I further agree to indemnify and hold harmless the Released Parties from any loss, liability, damage, or cost, including reasonable attorneys’ fees, arising out of or related to my participation in the Classes and Facilities or my presence on LŪMA premises, whether caused by my actions or otherwise.
I understand and acknowledge that LŪMA Wellness Studio is not a medical facility and that its staff are not acting in the capacity of medical professionals. I acknowledge that LŪMA does not guarantee the availability of emergency medical equipment, including but not limited to automated external defibrillators (AEDs), nor does it guarantee immediate medical assistance in the event of illness or injury. I understand that emergency response may be limited to contacting emergency services and providing assistance within the scope of staff training. I assume full responsibility for my physical condition and my ability to safely participate in all activities and agree that I am solely responsible for seeking medical clearance when appropriate.
I acknowledge and agree that I am financially responsible for all charges I incur at LŪMA, including but not limited to membership dues, class packages, drop-ins, late cancellation fees, no-show fees, retail purchases, rental fees, and any other charges agreed to under LŪMA’s policies. I authorize LŪMA to charge my card on file for any such amounts in accordance with its Terms and Conditions. If my account becomes past due and LŪMA is required to take action to collect outstanding balances, I agree to be responsible for all reasonable costs of collection, including administrative fees, court costs, and attorneys’ fees, to the fullest extent permitted by Texas law.
I represent and warrant that I am physically and mentally capable of participating in LŪMA’s classes, that I have no condition that would make participation unsafe, and that I have not been advised by a medical professional to refrain from physical or heated exercise. I understand that LŪMA reserves the right to deny or terminate my participation at any time for safety reasons.
I acknowledge that bringing personal property onto LŪMA premises is done at my own risk and that LŪMA is not responsible for the loss, theft, or damage of personal belongings. I agree that my own insurance, if any, is my sole recourse for such losses.
I expressly agree that this Waiver, Release, and Indemnity Agreement is intended to be as broad and inclusive as permitted by the laws of the State of Texas. If any portion of this agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
I acknowledge that I have carefully read and fully understand this Waiver, Release of Liability, Assumption of Risk, and Indemnity Agreement. I understand that by agreeing to this waiver, I am giving up substantial legal rights, including the right to sue LŪMA for claims arising from its ordinary negligence. I am agreeing to this waiver freely and voluntarily, and no oral representations or promises have been made to me other than those contained in this written agreement.
16. CHANGES TO TERMS
LŪMA reserves the right to modify studio policies and general terms at any time, subject to applicable law. Any material changes to membership terms will be implemented in accordance with applicable law. Any updates will become effective upon posting or upon notice through our booking platform, website, email, or other studio communications. Continued use of LŪMA’s services after such updates constitutes acceptance of the revised terms.
